GRUPO CARSO, S.A.B. de C.V. ("GCARSO") following our relevant event of 25 May 2023, informs
the investing public that on this date has been formalized the acquisition by its subsidiary Zamajal, S.A.
de C.V., of 49.9% of the Mexican subsidiary of Talos Energy Inc., denominated Talos Energy México
7, S. de R.L. de C.V., ("Talos México"), entity which in turn holds a 17.4% interest in the Zama oil field
("Zama Field"), located approximately 63.5 km off the coast of Tabasco, in the Southeast Basin. The
purchase price amounts to US$124'750,000, with a first payment on this date of US $74'850,000, and
the balance on the date when the first commercial production of the Zama Field is reached.
With the closing of the transaction, Grupo Carso from this date, will be participating actively together
with Talos, Petróleos Mexicanos and the other members of the consortium owning the Zama Field.
